Why we ask this
Authorised capital is the ceiling on what the company is permitted to issue. Raising it needs a board resolution to call an EGM, an ordinary resolution by shareholders, an amendment to the capital clause of the MoA, and Form SH-7 filed with MCA within 30 days of the resolution. The MCA fee scales by the slab of the uplift, and state stamp duty is charged on the increase itself — typically 0.1% to 0.3% depending on the registered office state.
